Senior Counsel

James Mangan represents emerging growth, rapidly scaling technology companies in connection with formation, general corporate matters and financings. He also regularly advises clients on mergers and acquisitions, with experience on both the buy-side and sell-side. In addition, he advises large strategic investors on the structuring and development of their investment programs.

James has worked with clients across a broad range of industries, including consumer and enterprise technology, blockchain, digital media, EV/battery, green technology, mobile, fintech, artificial intelligence, biotechnology and the food and beverage sector. He also has experience advising venture and private equity funds investing across a variety of industries.

Prior to joining Gesmer, James was a senior corporate associate at an Am Law 100 firm.

James provides impactful advice as he works with companies throughout their lifecycle—from formation through successive financing rounds and ultimately to exit. His focus is on providing practical, business-oriented guidance that reflects how companies actually operate, not just how documents read.

In addition to handling core matters such as equity compensation, executive employment, commercial agreements and governance, James helps founders and management teams navigate situations where the path forward is not always clear—whether that involves internal disputes, sensitive personnel issues or negotiating from a position of uneven leverage. He also brings an understanding of how venture and strategic investors evaluate opportunities, which helps in framing decisions and negotiations with those perspectives in mind. In those moments, his role is often as much about judgment and prioritization as it is about legal analysis.

Mergers & Acquisitions

James represents clients in a range of M&A transactions, with a focus on the middle-market. His approach emphasizes identifying the issues that matter most early and avoiding unnecessary complexity, while maintaining the rigor needed to move transactions efficiently toward closing. Having worked with both buyers and sellers, James is mindful of how each side evaluates risk and leverage, which helps in finding solutions that keep transactions progressing without losing sight of key protections.
