Background & Experience
Khoa brings global operational and deal experience across multiple industries, having represented founders/startups and multinational corporations on strategic and sophisticated transactions of various sizes, including helping companies to scale up by fundraising and operational improvement, multi-billion dollar transformational acquisitions, cross-border asset deals, and late-stage investments for sovereign wealth funds, private equity, and venture capital investors. He has worked on pre-IPO and institutional capital raises exceeding $1.3 billion, and routinely counsels C-suite executives and boards on legal and commercial risks tied to growth, financing, governance, and strategic exits.
Prior to joining Gesmer, Khoa served as Deputy General Counsel at a hyper-growth global energy company, where he helped scale the company by doubling its operational footprint through M&A and capital-raising transactions, assisting with post-merger integration, guiding corporate governance, and negotiating high-stakes commercial agreements. Earlier in his career, he practiced at leading international and U.S. firms, supporting sovereign funds, PE/VC investors, and multinational clients on high-profile corporate transactions and investor-state matters.
When not practicing law, Khoa enjoys home cooking, baking, and exploring both classical and popular culture with his dog, General Grievous (Gigi), especially when he can roll in the snow.

- Helping small and medium sized companies scale up with post-merger integration, corporate governance, labor and privacy compliance, and the negotiation of complex commercial agreements.
- Transformational M&A transactions, including a $600 million acquisition that doubled a client’s operating footprint, as well as multiple acquisitions across energy, logistics, real estate, and infrastructure sectors.
- Large-scale cross-border asset acquisitions, including multi-billion-dollar transactions involving multinational and state-owned enterprises in the energy and commodities industries.
- Institutional and late-stage investments exceeding $1.3 billion, representing sovereign wealth funds and global asset managers in pre-IPO financings, cornerstone private placements, post-IPO block trades, and joint-venture transactions.
- Venture capital and private equity investments across Series A–E, advising leading global funds on financings in fintech, crypto, gaming, data science, healthcare payments, and digital marketplaces.
- Complex restructurings and hostile-takeover defenses, including advising on a $300 million restructuring to protect a major enterprise from an unsolicited acquisition.
- Corporate governance and strategic advisory work for high-growth and regulated businesses, including charter amendments, equity structuring, board and investor matters, and operational risk management.
- Regulatory and competition matters in connection with cross-border acquisitions, including merger control filings and environmental and compliance advisory for multinational transactions.
- Strategic exits and spin-off transactions, including multi-tranche divestitures and carve-outs involving global financial institutions and multinational buyers.
